Terms and Conditions for Givo Platform Use
1. Introduction
These Terms and Conditions (“Agreement”) govern your use of the Givo platform—a comprehensive online solution for donation management and donor engagement, designed by WeDoGood Ventures Private Limited in India. By accessing or using Givo, you acknowledge and agree to these terms, which set out key rights, responsibilities, and obligations.
We are using the information provided by you to depict donation choices. We believe you are actually carrying on these activities. We are using the images provided by you and trust these are your images or you have rights to use these images.
This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of a computer resource.
When you use our Services, you will be subject to the rules, guidelines, policies, terms, and conditions applicable to such service, and they shall be deemed to be incorporated into this Agreement and shall be considered as part and parcel of this Agreement. The Privacy Policy and the Disclaimer form a part of this Agreement. We reserve the right, at our sole discretion, to change, modify, add or remove portions of this Agreement at any time without any prior written notice to you but shall keep you informed of any substantial changes through e-mail as per the e-mail provided by you while signing up for the Services. It is your responsibility to review this Agreement periodically for updates / changes. Your continued use of our Services following the posting of changes will mean that you accept and agree to the revisions.
2. Eligibility and Registration
Eligible Users: Only registered not-for-profit organizations in India—recognized as a Trust, Society, or a company registered under Section 8/25 of the relevant Act may use Givo.
Required Certification: You must hold a valid 12A/12AA certificate from the Indian Income Tax Department to accept donations.
Authorized Representative: The individual accepting these terms must have the lawful authority to bind the organization, and all documentation provided must be authentic and current.
3. Responsibilities of Users (NGOs)
Platform Integration: You will integrate the Givo into your website to enable donation features.
Donor Support: You are solely responsible for addressing donor queries or concerns. While Givo forwards donor communications, we do not directly provide support to donors.
Data Security & Confidentiality: You must maintain confidentiality of all donor and payment data, using it solely for authorized purposes and in compliance with applicable data protection laws.
Registration Status Updates: If your eligibility lapses (eg, loss of 12A/80G), you agree:
to stop fundraising immediately
to refund all donations received after loss of eligibility, and
WeDoGood will refund unremitted donations to donors as required.
Document Authenticity: All submitted records must be accurate and legitimate. Promptly update Givo regarding any changes impacting your registration or legal compliance.
You must ensure all donor solicitations and content on Givo are accurate, comply with Indian law, and do not promise tax benefit/impact that is not available.
You are responsible for the privacy and safety of donor/payment data that comes into your possession or via your staff/systems.
4. Givo’s Services and Role
Donation Management: Givo provides a digital platform featuring payment gateways and offline donation capture (including cash and cheque pickups).
Donor Nudges: With your authorization, Givo sends electronic acknowledgements (such as Thank You notes and 80G receipts) and handles reminders for failed payments. Givo upon authorization will send Emails and Whatsapp messages to the donors.
Communications: With your authorization, Givo sends E-mail and Whatsapp messages to the donors via the platform. Campaigns can be set up to communicate with the donors via email and whatsapp.
Custom Campaign Donation Forms: NGOs can design and deploy campaign-specific donation forms, directly embeddable on their websites.
Intermediary Capacity: Givo acts strictly as an online intermediary for donation processing. Givo is not responsible for how organizations use transferred funds.
Givo will receive donations from your donors into its account, hold them in trust, and transfer net amounts to the NGO’s account based on the agreed payout cycle, after deducting our agreed fees and statutory taxes.
Givo supports multi-channel donor contact, campaign management, analytics, and provides downloadable reports (including 10BD formats)
5. Compliance, Use, and General Obligations
Legal Compliance: You agree to use the platform in compliance with all Indian laws and regulations regarding digital transactions, donations, and data privacy.
Content Support: Collaborative development of campaign content for Givo is required. Such content must not be repurposed elsewhere without WeDoGood’s consent.
6. Platform Availability, Downtime, and Refunds
Givo relies on external payment partners. If any such partner’s service is suspended making core platform functions unavailable, WeDoGood will try to restore access or migration within 3 months.
No refund is available for temporary or minor outages, feature reduction, or gateway downtime not under WeDoGood’s control.
7. Confidentiality, Data Handling, & Privacy
All donor and NGO data is strictly confidential. WeDoGood will not share your donor information with third parties for promotional or unrelated purposes.
Information may be disclosed only as required by law or for the performance of contracted services.
Both parties agree to comply with all data protection, privacy, and information security regulations applicable in India.
8. Warranties, Indemnity, and Liability
You warrant that you are fully compliant with all applicable NGO, tax, and fundraising laws.
You indemnify WeDoGood for losses arising from your non-compliance, misrepresentation, or errors in information provided.
WeDoGood is not liable for indirect, incidental, or consequential damages. Direct liability is limited to amounts of service fees paid in the last 12 months.
You are liable for refunding donors if any fundraising is found to be in violation of law or your registrations lapse.
9. Limitation of Liability and Indemnification
In no event shall we, our directors, employees or agents, be liable to you for any direct, indirect, incidental, consequential, punitive, special or exemplary damages or for any damages of any kind, including but not limited to loss of use, loss of profits or loss of data, whether in an action in contract, tort (including but not limited to negligence) or otherwise, arising out of or in any way connected with the use or inability to use the Services, including without limitation any damages caused by or resulting from reliance by you on any information obtained from us or that result from mistakes, omissions, interruptions, deletion of files, errors, defects, viruses, delays in operation or transmission or any failure of performance, whether or not resulting from acts of god, communications failure, theft, destruction or unauthorized access to our records, programs or services.
In no event shall our aggregate liability, whether in contract, warranty, tort (including negligence, whether active, passive or imputed), product liability, strict liability or other theory, arising out of or relating to the use or inability to use our Services exceed the sum equivalent to the preceding one month’s aggregate fee earned by us, as a result of transactions made by donors towards you, under this Agreement from the date of occurrence of such liability. In no event shall we be liable to the Donors or any third party.Indemnity: NGOs agree to indemnify Givo for any complaints, damages, or liabilities resulting from misuse, improper documentation, or legal/regulatory violations.
10. Termination
Termination by Either Party: This Agreement can be terminated by written notice 30 days in advance. Immediate termination may result from legal ineligibility or material breach.
Post-Termination: Obligations such as outstanding refunds or pending chargebacks survive the termination of this Agreement.
11. Dispute Resolution
Dispute Resolution: Any legal disputes shall be resolved through arbitration in accordance with Indian arbitration law.
12. Amendments
Givo may modify these terms at any time. Changes will be notified by email or posted on the platform, taking effect upon notice. Continued use following updates is deemed acceptance of revised terms.
